OFFICIAL RULES OF “REPRESENT ROCK THE BELLS” CONTEST

NO PURCHASE IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT IMPROVE ENTRANT’S ODDS OF WINNING. THIS CONTEST IS OPEN ONLY TO NATURAL PERSONS WHO ARE LEGAL RESIDENTS OF THE UNITED STATES OF AMERICA AND WHO ARE AT LEAST 18 YEARS OF AGE AT THE TIME OF ENTRY. ENTRY IN THIS CONTEST CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES. VOID IN ANY OF THE UNITED STATES WHERE SUCH CONTESTS WOULD OTHERWISE BE PROHIBITED BY LAW.

CONTEST NAME:

REPRESENT ROCK THE BELLS CONTEST (“Contest”).

PROMOTER:

The Promoter of the Contest is Guerilla Union, Inc., 101 West Mission Blvd., Suite 110-367, Pomona, CA 91766.

SPONSOR and ADMINISTRATOR:

The Sponsor and Administrator of the Contest is Guerilla Union, Inc. (Referred to herein as “Administrator”). Administrator will conduct the Contest substantially as described in these Official Rules. By participating in the Contest each entrant (“Entrant”) agrees as follows:

ENTRY PERIOD:

Contest Launch Date: Registration and entry period for the Contest begins at 12:00 PM / PST on the 1st day of June, 2009 and ends at 11:59 AM / PST on the 13th day of July, 2009. Entrants can register, submit videos, and invite friends to earn points beginning at 12:00 PM / PST on the 1st day of June, 2009. All Video Submission must be completed by July 6, 2009. Votes and Friend Invitation can be submitted up to 11:59 AM/PST on the 13th of July, 2009.

Contest Deadline: The Contest ends at 11:59 AM/PST on the 13th day of July, 2009.

THEME OF CONTEST:

Show us how you REPRESENT ROCK THE BELLS. Get creative and submit your video. See "How To Enter" and "Terms Of Submission" below.

HOW TO ENTER:

In order to enter the Contest you must register by completing the registration form at rockthebells.blipback.com and you must submit a video. Any incomplete registrations shall be void and not eligible in the Contest.

To submit a video entry in the Contest upon registering, follow the prompts and file format size and limitations for “Video Submission.” All submitted videos shall be no longer than ninety (90) seconds and video file size shall be no larger than 25MG. The video shall entail how the Entrant best represents Rock the Bells, be it DJing, free styling, break dancing, etc.

Videos will be judged by the community of registered users and registered Entrants on the Web Site / widget, in accordance with the Criteria below. Each Entrant and each person who registers in response to a Friend Invite (“User”) will be allowed to vote for each eligible video to determine which submission best represents Rock the Bells. Each Registered User or Entrant is allowed one vote per video. Each Entrant is allowed to vote for their own video only once. At the end of the contest, Contest Deadline Date, the video with the most votes shall win the Grand Prize.

Once an Entrant registers for the Contest and submits a video, they can earn points and also be eligible to win one (1) of the Ten (10) First Place Prize packages. Points are awarded for registration and inviting friends based on the following point system: The Maximum number of points awarded for Registration activities is forty six (46) points.

Points earned for creating a user name = three (3) points
Points earned for signing up your Email address = three (3) points
Points earned for creating a Password = three (3) points
Points earned for uploading a Picture = three (3) points
Points earned for inputting your First Name = three (3) points
Points earned for inputting your Last Name = three (3) points
Points earned for inputting your Birthday = three (3) points
Points earned for inputting your Gender = three (3) points
Points earned for inputting your valid mobile phone number = three (3) points
Points earned for inputting your valid home phone number = three (3) points
Points earned for filling in the about me field = three (3) points
Points earned for inputting your valid mailing address = three (3) points
Points earned for accepting email opt in item one (1) = three (3) points
Points earned for accepting email opt in two (2) = three (3) points

The number of points awarded for inviting friends is unlimited. For each email address entered and friend invite sent. Entrant earns: 10 points For each person that registers and activates the widget from your invite. Entrant earns: 50 points For each installed widget from friend invite. Entrant earns: 100 points The Ten (10) Entrants who accumulate the most points at the end of the contest, Contest Deadline Date, shall be eligible to win One (1) of Ten (10) First Place prize packages as described below.

It is necessary to register in order to enter, to vote, or to participate in the Grand Prize contest vote as described below. It is not necessary to register in order to view submissions.

Entrants must be the registered subscriber of the email account from which the entry is made. A maximum of ten entries per person are permitted. Although subsequent attempts to enter may be received, only Entrant’s first ten entries during the specified contest entry period will count. No third party entry or entry through contest service permitted. All entries become the property of the Administrator and none will be acknowledged or returned.

TERMS OF SUBMISSION:

During the Contest Period, submission materials will be posted to the Web Site / widget for voting by registered users of Web Site / widget. As conditions of entry into this Contest, and by uploading a video submission, each Entrant:

1. WARRANTS AND REPRESENTS THAT HIS/HER SUBMISSION IS ORIGINAL TO THE ENTRANT AND HAS BEEN LEGALLY OBTAINED AND CREATED, DOES NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, OR VIOLATE APPLICABLE LAWS OR REGULATIONS AND HAS NOT BEEN PUBLISHED PREVIOUSLY IN ANY MEDIUM OR ENTERED IN ANY PREVIOUS CONTESTS; and

2. ACKNOWLEDGES AND AGREES THAT, IF AN ENTRANT'S SUBMISSION RECEIVES THE TOP NUMBER OF VOTES (SEE INITIAL JUDGING BELOW), THE ENTRANT WILL EXECUTE AN AFFIDAVIT OF ELIGIBILITY AND LIABILITY RELEASE. VIDEO SUBMISSIONS MAY NOT DEPICT A MINOR;

Entrants agree that Video Submissions shall not contain, include or involve any of the following:

Obscenity
Crude, vulgar or offensive pictures, depictions, images, language and/or symbols
Gang signs or symbols
Violence
Explicit sexual activity
Nudity
Illegal drug or alcohol use
Commercial products (e.g., clothing, toys, food) and/or their trademarks, brands, logos or endorsements
License plates, phone numbers, personal addresses (physical or email or otherwise)
Web Site or web page links
Derogatory characterizations of any ethnic, racial, sexual or religious groups, humiliate other people (publicly or otherwise), any assault or threatening of others
Trespass or the violation of other people’s rights or property
Illegal (e.g., discriminatory, harassing) or inappropriate activity, behavior or conduct (e.g., inflicting emotional distress)
Conduct or activities in violation of these Official Rules
Any other content, display, materials and/or images that is or could be considered inappropriate, unsuitable or offensive, as determined by Administrator, in their sole discretion

Administrator is not obligated to, use, publish, display or broadcast any submitted Videos which do not comply with these Official Rules and reserves the right to reject any entries that it deems, in its sole discretion, to violate the Official Rules; provided however that each Entrant acknowledges that Administrator will rely on such Entrant’s agreement and compliance with these Official Rules when Entrant submits or attempts to submit their entry.

ELIGIBILITY:

The contest is open only to natural persons who are legal residents of the United States of America (other than residents of States where this contest is prohibited by law), who are 18 years of age or older at the time of entry. Contest may only be entered from and in eligible jurisdictions. Employees and agents of Administrator, Promoters, and each of their respective parents or subsidiaries and each of their respective affiliates, subsidiaries, successors, assigns, employees or agents and any entity involved in the development, production, implementation, administration, judging or fulfillment of the Contest (“Contest Entities”), and the immediate family members and/or those persons living in the same household of such individuals, are not eligible to participate. In the event of a dispute about the identity of an Entrant, each entry will be declared made by the registered account holder of the e-mail address submitted at time of entry. The registered account holder is deemed to be the natural person who is assigned the submitted e-mail address by the relevant Internet service provider, online access provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. With respect to any winning entry, the Winner, defined hereunder, may be required to provide Administrator with proof that the person is the registered account holder of the e-mail address associated with the winning entry. By entering the Contest, Entrants agree to comply with and be bound by these Official Rules and the decisions of the judges which are final and binding in all respects. Failure to comply with these Official Rules may result in disqualification from the Contest.

GENERAL CONDITIONS:

The Contest is void where prohibited by law and is governed by the laws of the United States of America. The submission of an entry is solely the responsibility of the Entrant. Only eligible video entries actually received by 11:59 AM / PST on the 6th day of July, 2009 during the specified Contest entry period will be eligible in the voting process for the Grand Prize. Only eligible registered user points actually earned by 11:59 AM / PST on the 13th day of July, 2009 during the specified Contest entry period will be eligible for the Ten (10) first prizes. For purposes of these Official Rules, "receipt" of an online entry occurs when Administrator’s servers record the entry information upon Entrant’s clicking on the "Enter" button or when the Administrator receives the Entrant’s first entry form at the address above. Any automated computer receipt (such as one confirming delivery of e-mail) does not constitute proof of actual receipt by Administrator of an entry for purposes of these Official Rules. Illegible, unintelligible, incomplete or garbled entries will be disqualified. Administrator is not responsible for destroyed, delayed, lost, late, incomplete, mutilated, damaged, stolen, misdirected, illegible entries or other entries not received by deadline for whatever reason. Entry materials/data that have been tampered with or altered are void. ANY PERSON ATTEMPTING TO DEFRAUD ADMINISTRATOR OR IN ANY WAY TAMPER WITH, DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST WILL BE DISQUALIFIED AND MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PROSECUTION.

LIMITATION OF LIABILITY & RELEASE:

By participating in the Contest, Entrant agrees to indemnify and hold Sponsor, Administrator and its affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the “Contest Indemnitees”), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys’ fees) and liabilities (including settlements), brought or asserted by any third party against any of the Contest Indemnitees due to or arising out of the Entrant's submission or the Entrant’s conduct during and in connection with this Contest, including, but not limited to, trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation.

Entrant agrees to release and indemnify and hold harmless Contest Indemnitees from any and all claims that any commercial, advertising, presentation, Web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Administrator infringes on the rights of Entrant's work as contained in any Submission.

Entrants agree to indemnify and hold harmless Contest Indemnitees from and against any and all injuries, losses, damages, claims and actions of any kind arising from or relating to participation in the Contest, or acceptance, possession, use, misuse or nonuse of the prize that may be awarded, including, without limitation, actual, direct, indirect, consequential, punitive, special, or other damages.

Contest Indemnitees are not responsible for printing or typographical errors in any Contest-related materials; for stolen, lost, late, misdirected, damaged, incomplete, illegible entries; or for transactions that are lost, misdirected, fail to enter into the processing system, or are processed, reported or transmitted late or incorrectly, or are lost for any reason, including, without limitation, computer, telephone, paper transfer, or human error; or for electronic, computer, or telephonic malfunction or error. If, in the Sponsor’s or Administrator’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if a computer virus, bug, unauthorized intervention, fraud, technical difficulties, or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Contest, Administrator reserves the right in their sole discretion to disqualify any individual who tampers with the entry process and to void any entries submitted fraudulently; to modify or suspend the Contest; or to terminate the Contest and conduct a random drawing to award the prize using all non-suspect entries received as of the termination date. If the Contest is cancelled, modified, suspended or terminated, notice will be posted on the Web Site / Widget.

SELECTION OF WINNERS:

One (1) Grand Prize Winner will be determined at 11:59 AM/PST on July 13, 2009 based on the number of votes awarded by the community of ROCK THE BELLS CONTEST registered Web Site / widget users.

Ten (10) First place winners will be determined at 11:59 AM/PST on July 13, 2009 based on the number of points earned/awarded through the Web Site / widget.

All matters relating to the Contest and these Official Rules are final and binding in all respects. Administrator reserves the right to disqualify any participant or Winner and may refuse to award the prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Contest, or obtained winner status using fraudulent means.

Odds of winning the prize depend on the number of eligible entries received. Potential winners will be notified by e-mail and must meet all eligibility requirements. Administrator will make up to three (3) attempts over the 72 hour period following Grand Prize Winner selection to contact the potential Grand Prize Winner. Return of the prize or prize notification as undeliverable, or inability of Administrator to contact a potential winner by telephone or e-mail within seventy-two (72) hours of selection, may result in disqualification of such potential winner and an alternate winner may be selected by random drawing at Administrator’s discretion. In the event a winner declines prize or fails to return any completed documents and releases as required, Administrator may elect, at its discretion, to select an alternate winner by random drawing.

PUBLICITY, PRIVACY & PRIZE NOTIFICATION:

Except where prohibited by state, provincial or federal laws or regulations, by submitting an entry, Entrant grants the Administrator a perpetual, worldwide, royalty-free license to use his/her name, character, photograph, voice, and likeness in connection with the promotion of this and other Contests, and Entrants waive any and all claims and/or rights to receive any royalties or other compensation for the Administrator’s use thereof, unless prohibited by such laws.. Grand Prize Winner must complete, sign, notarize and return an affidavit of eligibility/liability release and a publicity release, which must be returned, properly executed, within seventy-two (72) hours of issuance of prize notification. Winner shall be required to complete, sign, notarize and return a confidentiality agreement, properly executed, within seventy-two (72) hours of issuance of prize notification. If these documents are not returned properly executed, or are returned to Administrator as undeliverable, or if any given prize Winner does not otherwise comply with the Officials Rules, the prize will be forfeited and awarded to an alternate winner.

II. One (1) Grand Prize: a. A trip for two (2) to Rock the Bells scheduled for August 8, 2009 in Los Angeles, California

c. Hotel accommodations for 2 nights/ 3 days (one suite, double occupancy)
d. VIP package with artist meet-n-greet, official Rock the Bells 2009 Festival Series t-shirt, backpack, souvenir credential, and poster
e. Side stage access
f. $500 gift card to Karmaloop.com
g. Total approximate retail value of prize $1923.20

Grand Prize Winner and guest must be able to travel on Administrator specified dates, or prize will be forfeited in its entirety and may be awarded to an alternate winner, time permitting. Winner and guest are responsible for all necessary travel documents including passport if necessary. Guest must be 18 years of age or older (except residents of Alabama and Nebraska, who must be 19 years of age or older) at time of ticketing prize. All travel-related expenses not set forth herein, including but not limited to, ground transportation, meals, gratuities and incidental hotel and personal expenses, are solely the responsibility of winner. Actual retail value of trip may vary and will depend on airfare fluctuations and winner’s point of departure/return. Travel and accommodations are subject to change and availability and restrictions may apply. Administrator will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Any difference between stated approximate retail value and actual value of prize will not be awarded. Winner and guest must travel on the same itinerary and comply with all airport and venue security requirements. Travel accommodations at the discretion of Administrator. All Entrants understand that travel, whether in civilized or remote areas and whether by plane, automobile, or other conveyance, or by foot, on land and in the air, contains some inherent element of risk of accident, illness, injury, loss or death, which may be caused by negligence, forces of nature or other agencies, known or unknown. Winner understands that these risks may be present before, during and after the trip. Winner and guest must accept the terms and conditions of the Guerilla Union, LLC and Rock The Bells Tour and its management, or prize in its entirety is subject to forfeiture. By participating in the Sweepstakes, Entrants agree to indemnify and hold harmless Administrator and Guerilla Union, LLC from and against any and all injuries, losses, damages, claims and actions of any kind arising from or relating to participation in the Sweepstakes, or acceptance, possession, use, misuse or nonuse of the prize that may be awarded, including, without limitation, actual, direct, indirect, consequential, punitive, special, or other damages.

Winner and guest must sign a Liability Release in which they accept the inherently dangerous nature and risk in attending the Rock The Bells Event, including but not limited to personal injury and/or death, acknowledge that his/her participation in this prize event is voluntary, and he/she assumes the risk of such factors and occurrences, and agrees that the Administrator shall not be in any way responsible for any resulting injury and/or death. Administrator reserves the right in its sole discretion to suspend or cancel the participation of any winner or guest due to non-compliance with any security procedure or inappropriate behavior or misconduct. Prize will be awarded provided it is claimed properly in accordance with these Rules. No transfer of prize allowed. No cash redemption of prize. Administrator reserves the right to substitute prize for one of equal or greater value if prize becomes unavailable. If an eligible minor wins the Grand Prize, prize will be awarded on his/her behalf to his/her parent or legal guardian. Prize winner (and is/her parent/legal guardian if winner is an eligible minor) will be required to sign and return an Affidavit of Eligibility, a Liability Release, and, where legal, Publicity Release, within seventy-two (72) hours of the date printed on the prize notification. Noncompliance within this time period may result in disqualification and an alternate winner may be selected, if time permits, from among the remaining entries in the drawing pool. If Prize notification or prize is returned as undeliverable, or any prize documentation is not submitted as required by Administrator, the corresponding prize will be forfeited. The Grand Prize winner be notified by the 16th day of July, 2009. Their prize package will be redeemable on-site of the Rock the Bells Festival in Los Angeles, California on the 8th day of August. First Place Prize Winners will be notified by the 16th day of July, 2009. The First Place prize packages will be sent to the First Place winners by the 24th day of July, 2009. Winner must be at least 18 years of age. No substitution, transfer of the prize (or any part of the prize package) or cash alternative permitted, except by Administrator, in which case a prize of equal or greater value will be awarded.

There will be only one Grand Prize awarded to the Winner with the greatest amount of votes. There will be Ten (10) First Place prizes awarded to the Ten (10) Entrants with the highest total amounts of votes accumulated. If lost or stolen, the prize or any component thereof will not be replaced. Prize does not include any other item or expense not specifically described in these Official Rules, and all additional expenses, if any, are the sole responsibility of Winner. Prize may not be transferred or assigned except to a surviving spouse living in the same household. Only the listed prize will be awarded and no substitutions or cash equivalents or redemption will be made, except that Administrator reserves the right to award a prize of equal or greater financial value if the advertised prize (or any component thereof) becomes unavailable. The prize cannot be used in conjunction with any other promotion or offer. Winner agrees to accept the prize “as is”, and Entrants hereby acknowledge that Administrator has neither made nor is in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prize, including express warranties (if any) provided exclusively by the prize supplier that are sent along with the prize.

Any valuation of the prizes stated above is based on available information provided to Administrator and the value of the prizes awarded to the Winners may be reported for tax purposes as required by law. The Winners are solely responsible for reporting and paying any and all applicable taxes. The Winners must provide Administrator with a valid taxpayer identification number or social security number before the prizes will be awarded. Prizes are not transferable, redeemable for cash or exchangeable for any other prize.

Entrants are hereby authorized to copy these official rules on the condition that it will be for their personal use and not for any commercial purpose whatsoever.

WINNERS LIST:

A Winners List will be available after July 27th, 2009 for a period of sixty (60) days. In order to obtain a Winners List, where permitted by law, send a self-addressed, stamped envelope to Guerilla Union, Inc., 101 West Mission Blvd., Suite 110-367, Pomona, CA 91766 Attn: REPRESENT ROCK THE BELLS Contest, Winners List.

The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as the prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred.
